How these are made

  • A fall. A close 20% or more below the close 21 trading days before. It lasts while that holds, and the 10 trading days after; a company counts once a fall.
  • The purchases. Shares the company's CEO or CFO bought on the market, on the fall's first day or within the 10 trading days after its last, added up at their average price. Never a grant, an option exercise, a company plan's purchase, a purchase made under a 10b5-1 plan set in advance, or shares bought in an offering. A price more than 10% outside that day's trading range is left out, and the same purchase filed by two people (a couple's joint holding) counts once.
  • 90 days later. The close 90 trading days after the last purchase, against the price paid, once those days have passed. The 52-week low is the lowest price in the 252 trading days to the last purchase.
  • The sales before a fall. Shares officers, directors, and 10% owners sold on the market in the 30 trading days before the first day of a 20% fall measured over 21 trading days, placed by the day of the trade, never a day inside a fall. People only: a sale filed by a fund or a company is left out. Each person counts once a fall at each company, their sales added up at their average price. A fall whose 30 days begin before the record does is left out.
  • Under a plan. A sale under a 10b5-1 plan is one the filer scheduled earlier, in a plan set in advance, as the Form 4 marks it. The Plan tag marks those sales, and the share is of the dollars.
  • To the low. The fall's lowest close, from its first day to 10 trading days after its last, against the average price sold at. While the fall lasts, it is the lowest so far.
  • Where the score moved. Each company's Quality Score at a month's last close against the close of the month before, both as recorded that day. The trades beside them are those insiders filed in the month, by the filing's day.
